What to Expect?

Gates is seeking a Commercial Counsel to provide timely, accurate, and business-focused legal support to the commercial organization, while also partnering with various functions across EMEA. This role offers an exciting opportunity to lead negotiations on a wide range of commercial contracts and to collaborate closely with peers in the regional legal team, leveraging their expertise where needed.

Working from one of the following Gates' offices , Luxembourg, Wroclaw (Poland) or Aachen (Germany).

Essential Duties and Responsibilities

  • Providing legal support on contract reviewing, drafting and negotiating of all types of contracts, including master services agreements, supply agreements, purchase orders, marketing agreements, general service contracts, other complex commercial contracts in areas such as sales, distribution, purchasing and service contracts, competition law, torts and corporate law etc.
  • Providing legal and strategic business advice to ensure agreements are consistent with internal corporate policies and processes
  • Supporting the Legal Team on a variety of special and ongoing projects
  • Providing support to Compliance matters, supporting and conducting investigations
  • Supporting M&A team on transactional documentation and due diligence
  • Leading projects with notable risk and complexity; developing the strategy for project execution

 

Keys to Success

  • Working knowledge and understanding of EMEA local contract laws as well as related administrative processes
  • Ability to spot issues, research, investigate, and use independent judgment to solve problems
  • Ability to be flexible and work well independently in a fast-paced environment while managing multiple, competing priorities and maintaining a strong focus on detail

  • None

Requirements and Preferred Skills

  • 2-4 years of experience as in-house legal counsel in an industrial / manufacturing company or within a major law firm, serving clients with regards to commercial agreements, compliance and labor/employment matters
  • Fully Qualified Lawyer / Solicitor with immediate ability to practice in the EU
  • Excellent negotiator with clear communication skills
  • Excellent verbal and written communication skills, strong interpersonal skills and demonstrated ability to communicate well within all levels of the organization and with external clients
  • Manage and prioritize multiple projects and changing deadlines in a fast-paced and demanding environment with quick response time
  • Team player, able to work well independently
  • Fluent in English
